Sales conditions

  1. General provisions

    1. The General Sales Conditions regulate the principles and procedures of the sale of conglomerate and granite products by Forma System Sp. z o.o. in Świdnica and are an integral part of every sales contract.
    2. Deviations from the General Sales Conditions included in the Buyer’s order shall be binding on the Seller if the Seller has agreed to them in writing.
  2. Execution of the order

    1. If the Buyer requests immediate execution of the order, the contract shall come into force upon its execution by the Seller.
    2. The Seller shall not be liable for the untimely delivery of the products ordered if the delay is due to reasons beyond the Seller’s control, in particular force majeure such as natural disasters, war, social unrest, official requirements, power cuts, strikes.
  3. Price, shipping, risk of accidental loss or damage to the products, warranty

    1. The price of the product is the price according to the current valid price list. The Seller reserves the right to change the price list. The buyer shall be informed of the change 14 days in advance.
    2. The unit price of the product includes the cost of standard packaging, i.e. packaging that corresponds to the characteristics of the product and protects it from transport damage.
    3. If the Buyer asks in the order to inform it of the date of delivery of the products, the Seller is obliged to inform the Buyer of this by post, e-mail, fax or telephone.
    4. The risk of accidental loss or damage and the benefits and burdens associated with the sale of the products shall pass to the Buyer upon receipt of the products.
    5. The products are covered by the warranty, the terms of which are contained in the warranty certificate accompanying the products.

  4. Terms of payment

    1. The Buyer shall pay the purchase price by bank transfer to the bank account specified by the Seller on the basis of a VAT invoice, within the period specified in the invoice.
    2. The Seller reserves the right to make payment for the products in advance in cash, in particular if there are reasonable doubts about the Buyer’s ability to pay.
    3. It is understood that the payment of the price will be made on the day the Seller’s bank account is credited.
    4. In the event of a delay in the payment of the price, the seller is entitled to charge interest at the statutory rate, unless the parties have agreed otherwise, and to introduce other forms of settlement such as direct debit or factoring.
  5. Complaints about quantity and quality

    1. The Buyer is obliged to make a quantitative and qualitative acceptance of the product.
    2. Any complaints due to shortages, the delivery of a product other than the one ordered, if it was not possible to determine these circumstances upon receipt of the product by the Buyer, or due to hidden defects, shall be made by the Buyer to the Seller in accordance with the rules set out in the Guarantee and Instructions for use of the stone worktop set.
    3. Any complaint should take the form of a protocol in which the Buyer defines the defects of the product complained about.
    4. In case of a complaint about the quality (hidden defects), the Buyer is obliged to provide the advertised product to the Seller.
    5. If the Buyer detects a partial defect in the product or its damage during transport, the Buyer is obliged to confirm these circumstances by making an appropriate note on the delivery note.
  6. Final provisions

    1. In matters not covered by these General Sales Conditions, the relevant provisions of the Civil Code apply.
