Terms of sale

General provisions

    1. The General Terms and Conditions of Sale regulate the principles and procedures of sale of conglomerate and granite products by Forma System Sp. z o.o. in Świdnica and constitute an integral part of each sales contract.
    2. Any deviations from the General Terms and Conditions of Sale entered in the Buyer's order shall be binding on the Seller if he has agreed to them in writing.

Order processing

    1. If the Buyer requests in the order that the order be executed immediately, the contract shall come into effect as soon as the Seller has commenced its execution.
    2. The Seller shall not be liable for non-delivery of the ordered products on the agreed date if the delay has occurred for reasons beyond his control, in particular due to force majeure, e.g. natural disasters, war, social unrest, restrictions issued by authorities, lack of energy, strikes.

Price, shipping, risk of accidental loss or damage to goods, warranty

    1. The price of the product is the price according to the currently valid price list. The seller reserves the right to change the price list. The buyer will be informed of the change 14 days in advance.
    2. The unit price of the product includes the cost of standard packaging, i.e. packaging that corresponds to the characteristics of the product and protects it from damage during transport.
    3. If the Buyer requests in the order to be notified of the delivery time of the products, the Seller shall notify the Buyer of this by post, e-mail, fax or telephone.
    4. The risk of accidental loss or damage, as well as the benefits and burdens associated with the sale of the products, shall be transferred to the Buyer upon acceptance of the product.
    5. The products are covered by a guarantee, the terms of which are contained in the guarantee document accompanying the products.

Payment terms

    1. The buyer shall pay the price by bank transfer to the bank account specified by the seller on the basis of the VAT invoice , within the period specified in the invoice.
    2. The seller reserves the right to make the sale subject to payment for the goods in advance in cash, especially if there are reasonable doubts about the solvency of the buyer.
    3. Payment of the price is deemed to be made on the day the Seller's bank account is credited.
    4. If the payment of the price is delayed, the seller is entitled to claim interest at the statutory rate, unless the parties have agreed otherwise, and to introduce other forms of settlement, e.g. direct debiting or factoring.

Quantity and quality complaints

    1. The buyer is obliged to carry out the quantitative and qualitative acceptance of the delivered product.
    2. Any possible complaints due to quantity shortages, delivery of a product other than ordered, if the determination of these circumstances was not possible upon the receipt of the product by the Buyer, or due to hidden defects of the product, shall be submitted by the Buyer to the Seller in accordance with the rules specified in the Guarantee and the Instructions for Use of the stone worktop set.
    3. Each complaint should be made in the form of a protocol in which the buyer specifies the defects of the advertised product.
    4. In the event of a complaint concerning quality (latent defects), the Buyer is obliged to keep the advertised product at the Seller's disposal.
    5. If the Buyer discovers a partial shortage or damage to the product during transport upon receipt, he is obliged to confirm these circumstances by making a note to this effect in the delivery document.

Final provisions

    1. In matters not covered by the General Terms of Sale, the provisions of the Civil Code shall apply.
